Terms of Service

1. Acceptance and Scope

These Terms of Service ("Terms") govern your access to and use of the Pipette.bio websites, platform, and related services (collectively, the "Service") operated by Variome Analytics ("Pipette," "we," "our," or "us"). Pipette is an AI-assisted bioinformatics platform that helps researchers turn natural-language questions into managed analyses, figures, reports, code, and result files.

You agree to these Terms when you create an account, purchase credits or a subscription, join a shared workspace, or use the Service. If you use Pipette for an organization, you confirm that you have authority to accept these Terms on its behalf. A signed order form or other written agreement may include additional terms; if there is a conflict, that agreement controls for the services it covers.

2. Research Use and Validation

Pipette is designed to support scientific research. It is not a medical device and is not a substitute for professional medical judgment, diagnosis, or treatment. You are responsible for reviewing the methods, assumptions, code, source data, and outputs before relying on them or using them in a publication, decision, or downstream workflow.

AI-generated plans, code, explanations, and interpretations may contain errors or vary between runs. Pipette provides analysis records and reproducibility materials to make review easier, but those features do not replace appropriate scientific validation.

3. Your Content and Data

You retain your rights in the files, datasets, prompts, instructions, and other content you provide to the Service ("Your Content"). We process Your Content only as needed to provide and secure the Service, administer accounts and billing, respond to support requests, and comply with law, as described in our Privacy Policy.

We do not use Your Content or your results to train our own or third-party AI models. To complete a task, relevant portions of a query, context, or file may be processed by AI service providers under terms that do not permit model training on that content.

You confirm that you have the rights, permissions, notices, and consents required to submit Your Content and instruct us to process it. You remain responsible for following applicable laws, ethics approvals, institutional policies, and data-use agreements.

4. Sensitive Data and Acceptable Use

Contact us before using Pipette with protected health information (PHI), direct personal identifiers, or data subject to HIPAA or other special contractual or regulatory safeguards. We can discuss the proposed use, security needs, and an appropriate agreement, including a DPA or other terms where applicable. Please do not upload that data until the use has been reviewed and approved in writing.

You may not use the Service to:

  • Violate law, third-party rights, research approvals, or data-use restrictions;
  • Conduct work intended to cause harm involving pathogens, toxins, or other hazardous biological agents, or to bypass applicable safety controls;
  • Access another account, workspace, system, or dataset without authorization;
  • Introduce malware, probe for vulnerabilities without permission, or disrupt the Service;
  • Run cryptocurrency mining or unrelated high-volume workloads that interfere with normal use;
  • Share personal credentials, misrepresent your identity, or evade usage or security limits; or
  • Resell the Service or provide it as a hosted API without a separate written agreement.

We may take proportionate steps to protect users and the Service when we reasonably believe these rules have been violated.

5. Accounts and Shared Workspaces

You must be at least 18 years old and provide accurate account information. Keep your credentials secure, use one personal account per person, and notify us if you believe an account has been compromised.

In a shared workspace, authorized members and administrators may access content according to their roles. The organization that controls the workspace may manage membership, settings, billing, and organization-level workflows. You are responsible for choosing the appropriate workspace and access settings before sharing content.

6. Credits, Subscriptions, and Billing

Pipette offers one-time credit packs, recurring subscriptions, and contracted plans. Current prices, included credits or capacity, renewal terms, and plan features are shown on our Pricing page, in the product, at checkout, or in an applicable order form. Using the Service may consume credits based on the analysis requested.

Purchased self-service credits do not expire. Free, promotional, or subscription credits may refresh or expire as stated with the grant or plan. Subscriptions renew as disclosed at purchase unless canceled before the renewal date. Payments may be handled by a payment processor and are subject to any additional terms shown at checkout.

If a task fails before useful work is completed, the Service may automatically restore the associated credits or our team can review the run. Credits already consumed for completed work are non-refundable, except where required by law or expressly agreed otherwise. Please report a billing concern within 30 days so we can investigate it promptly.

7. Communications

We may send service-related messages needed to operate your account, such as security, billing, workspace, and material product notices. We send marketing communications only where you have opted in or where otherwise permitted by law, and you can unsubscribe from them at any time.

8. Third-Party and Open-Source Services

Pipette works with service providers, public scientific resources, open-source software, models, and data. Those resources may have their own licenses, usage terms, availability, and attribution requirements. You are responsible for following third-party terms that apply to your intended use. Pipette remains responsible for its own obligations under these Terms and applicable law.

9. Intellectual Property and Outputs

Variome Analytics and its licensors retain rights in the Service, including its proprietary software, interface, prompts, documentation, and branding. Open-source Skills, software, models, and data remain subject to their respective licenses.

As between you and Pipette, you retain your rights in Your Content and own the generated code, reports, figures, and results produced for you to the extent those materials are copyrightable and we have rights to grant them. Third-party components and source materials remain subject to their own terms.

If you provide feedback, you give us a non-exclusive, worldwide, royalty-free right to use it to improve the Service without identifying you publicly.

10. Availability and Changes to the Service

We work to keep Pipette reliable, but uninterrupted or error-free access cannot be guaranteed. Maintenance, provider outages, scientific resource changes, and other events may affect availability or results.

We may update features, Skills, models, plan capacity, or prices as the Service evolves. We will provide reasonable notice when a material change is likely to significantly affect a paid plan or your continued use.

11. Disclaimers

To the extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that every output will be complete, accurate, reproducible in every environment, or suitable for your particular research purpose. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

12. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or business opportunities, even if advised that such damages are possible.

To the maximum extent permitted by law, Variome Analytics' total liability arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us during the 12 months before the event giving rise to the claim or USD $100. These limits do not apply where liability cannot lawfully be limited.

13. Indemnification

You will defend and indemnify Variome Analytics and its personnel against third-party claims, damages, and reasonable costs arising from Your Content, your unlawful use of the Service, or your material breach of these Terms. This obligation does not apply to the extent a claim results from our own breach, negligence, or willful misconduct. We will provide reasonable notice of a covered claim and allow you to control its defense, subject to our right to participate with counsel of our choice.

14. Suspension and Termination

You may stop using the Service or request account closure at any time. We may suspend or terminate access when reasonably necessary to address a material breach, legal requirement, security risk, non-payment, or harm to users or the Service. Where practical, we will provide notice and an opportunity to resolve the issue.

After termination, your right to use the Service ends. Data retention and deletion are handled as described in our Privacy Policy and any applicable written agreement. Provisions concerning ownership, payment obligations, disclaimers, liability, indemnification, and dispute resolution survive as needed to give them effect.

15. Changes to These Terms

We may update these Terms as the Service and applicable requirements evolve. We will post the revised Terms, update the "Last Updated" date, and provide additional notice when a material change warrants it. Changes apply prospectively from their stated effective date. Your continued use after that date means you accept the updated Terms.

16. Governing Law and General Terms

These Terms are governed by the laws of the Republic of India, without regard to conflict-of-law principles. Courts located in Rajasthan, India will have exclusive jurisdiction over disputes arising from these Terms, unless applicable law requires otherwise.

These Terms, our Privacy Policy, and any applicable order form or written agreement are the complete agreement concerning the Service. If part of these Terms is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the Service, subject to applicable law.
